Free Zone Company Cancellation

How to Cancel a Free Zone Company
in the UAE, Step by Step

Letting a licence lapse does not close a company. It stays on record with its visas, bank file and tax registration until it is formally cancelled. This page sets out the usual order of steps and what each zone publishes, so you can plan before you apply.

Short answer

Cancel in this order: settle staff dues and cancel visas, clear tax and deregister with the Federal Tax Authority, settle bank and supplier balances, then ask the free zone to cancel the licence. Rules and documents differ by zone, so follow your zone's own procedure.

Xillion Group UAE is a consultancy. It is not a licensing authority, a bank, a law firm, a tax adviser or an audit firm, and approvals are decided by the relevant authority. Regulated services such as tax, audit, legal drafting, VARA licensing and immigration filings are coordinated through licensed external partners. This page is general information, not legal, tax or investment advice, and nothing here is a guarantee.

UAE government (u.ae)Shareholder resolution to close. Cancel all employee and investor visas. Settle outstanding financial obligations. Deregister with the Federal Tax Authority if applicable. Submit the licence cancellation or liquidation application with the required clearances. After approval the authority issues a final de-registration certificate. Branches of free zone companies registered with the Ministry of Economy and Tourism also need closing. No fees or processing times stated.u.ae page (updated 27 Oct 2026)
RAKEZCancel employee visas first through the portal; investor, partner and manager visas are cancelled during the licence cancellation. Return the facility to its original condition. Apply on the RAKEZ 360 portal and upload: a shareholders' resolution signed by all shareholders (attested where a company is a shareholder), the general manager's resignation or termination letter confirming dues are received, and termination of any local service agent agreement. RAKEZ inspects the facility, sends a quotation, and issues a Cancellation Certificate after payment. Land and warehouse licences need extra clearances such as utilities, customs NOC and civil defence; for warehouses contact your Key Account Manager.AED 3,000 plus third-party fees if applicable (office and co-working). AED 3,000, or AED 4,500 for an industrial licence, plus external fees (land and warehouse). Processing 5 working days and a 14 day newspaper publication.Office facilities, co-working, land and warehouse (pages show Copyright 2025, no update date)
Meydan Free ZoneIn Meydan's order: record the shareholder decision in a resolution; cancel owner and employee visas and pay final staff dues; file final tax returns and deregister for Corporate Tax or VAT where registered; get a liquidation report from an accountant; close the bank account after liabilities clear; then submit the final cancellation request. Have ready the shareholder resolution, the owner's passport and Emirates ID, bank statements and latest accounting records, and signatory details if a representative acts.No cancellation fee or processing time is given. Meydan says to treat only fees published by Meydan or a regulator as official.Meydan cancellation article (updated 19 Oct 2026)
IFZASimply not renewing is not enough to close a business. Closure follows the Free Zone Regulation and other applicable law to cancel the licence and, for an FZCO, to formally liquidate it, and you pay all costs and fees due (clause 16). IFZA's article says all fines must be cleared before formal cancellation or liquidation. Visas issued under the licence can be cancelled (clause 20).No cancellation fee or timeline on the pages we read.IFZA Terms and Conditions, IFZA article (15 Jul 2026)
DMCCEight steps in DMCC's guideline: submit the application and first documents on the member portal; cancel active visas, PICs and TACs; upload the second set of documents; send the originals to DMCC; DMCC publishes the licence termination for 14 days; upload the liquidator's report; DMCC publishes the de-registration for 14 days; DMCC issues the termination and de-registration letters. The liquidator should be a reputable auditing or law firm in the UAE. Clearances cover telecom, utilities, the landlord and, for trading licences, a Dubai Customs NOC.DMCC states 45 to 60 days once requirements are complete, including the 14 day publication twice. The guideline lists no fee amounts, only Immigration file-closing fees and fees for each lost document.DMCC termination guideline 2.2.2.1 (no issue date shown)
SHAMS (Sharjah Media City)The Liquidation Regulations set the routes. Shareholders' voluntary liquidation applies when the company has no liabilities or can pay all of them within six months: file the prescribed form, a shareholder resolution dated no more than 30 days earlier and a solvency statement signed by each director and manager. If it cannot pay within six months, creditors' voluntary liquidation applies, with a liquidator, a creditors' meeting and newspaper notices. The Authority may then issue a cancellation certificate. A licensee can also apply to terminate its licence (Companies and Licensing Regulations, Art. 13.1).No fee amounts or processing times in the documents.SHAMS Liquidation Regulations 2018, Licensing Regulations 2017 (undated copies)

Tax Deregistration Comes With Closing

Corporate tax. The Federal Tax Authority page says its deregistration service is for all persons registered for Corporate Tax. Liquidation and closure of business are accepted reasons. For these the page asks for the licence cancellation document and financial statements up to the cancellation date. The FTA says it processes a complete application within 40 working days, the service is free of charge, and you apply through EmaraTax. FTA service page (page updated 31 Aug 2026, checked 29 Oct 2026).

VAT. VAT and excise deregistration is a separate FTA service. We could not re-read it on 29 Oct 2026, so check the FTA page or ask your tax adviser. Our VAT registration page covers the basics.

Order matters. The u.ae and Meydan sequences place tax deregistration before the final cancellation, while the FTA asks for the licence cancellation document. Ask your zone and your tax adviser which order they want in your case.

A Practical Order to Follow

  1. Decide whether you really want to close. Meydan suggests weighing dormancy, an activity change or a transfer first, where the zone allows them.
  2. Record the shareholder decision in a signed resolution. Corporate shareholders may need notarised or legalised resolutions (RAKEZ).
  3. Cancel employee visas and pay final dues. Plan where owner and dependant visas go next, because dependants follow the sponsor's status (Meydan).
  4. Prepare the clearances the zone lists, such as utilities, telecom, landlord and customs where they apply.
  5. File final tax returns and apply to deregister for Corporate Tax and VAT where you are registered.
  6. Appoint a liquidator or get the accountant's liquidation report if your zone requires one (DMCC, Meydan, SHAMS).
  7. Submit the cancellation request, pay the zone's invoice and allow for the publication period.
  8. Close the bank account once liabilities and final payments have cleared, and keep the bank's written confirmation.

Not Ready to Close? Dormancy

DMCC publishes a voluntary dormancy route. A company needs an active registration and a valid licence held for at least 12 months before the start date. Dormancy runs for 12, 24 or 36 months, with a cumulative maximum of 36 months. While dormant the company cannot trade in or from DMCC, visas and leases must be cancelled and bank accounts closed or suspended. Fees depend on the period chosen and are in DMCC's schedule of charges. DMCC dormancy guidance (version 3, issued 17 March 2025). Other zones may offer something similar; ask yours.

What Can Go Wrong

A lapse is not a closure

Meydan and IFZA both say letting a licence lapse does not close the company. RAKEZ also publishes an undated violations code that lists a penalty of AED 1,500 per month, up to 6 months, for delay in completing de-registration. The document carries no date, so ask RAKEZ whether it applies to you.

Visas come first

RAKEZ asks for employee visas to be cancelled before you apply. Meydan says open visas can delay the request.

Bank closed too early or too late

Meydan advises closing the account after liabilities and final payments have cleared and the liquidation report is complete, and keeping the bank's confirmation.

Lost or missing documents

DMCC lists an undertaking letter and a fee for each lost document. Gather originals early.

Publication takes time

RAKEZ publishes a notice for 14 days and DMCC publishes twice, 14 days each. Plan around it if you need the lease or visas ended by a date.

Tax left open

Tax registrations do not close with the licence. Apply to deregister, and file final returns first.

Questions

Cancelling a Free Zone Company FAQ

How much does it cost to cancel a free zone licence?

RAKEZ publishes AED 3,000 plus third-party fees for office and co-working licences, and AED 3,000 or AED 4,500 for industrial land and warehouse licences. The other zones we read publish no amount. There can also be costs outside the zone, such as a liquidator or accountant, Immigration and newspaper notices. Ask for a written quote.

RAKEZ states 5 working days of processing plus a 14 day newspaper publication. DMCC states 45 to 60 days once requirements are complete. Meydan, IFZA and SHAMS give no timeline on the pages we read. The FTA says tax deregistration takes up to 40 working days from a complete application.

DMCC requires a liquidator and a liquidator's report. Meydan names a liquidation report from an accountant. SHAMS regulations provide for a liquidator in creditors' voluntary liquidation. RAKEZ does not list one in its documents. Your zone decides, so ask.

Cancel employee visas first. RAKEZ asks for this before you apply, and Meydan says open visas can delay the request. At RAKEZ, investor, partner and manager visas are cancelled during the licence cancellation, so plan your next visa.

Meydan advises closing it after liabilities and final payments have cleared, and keeping the bank's confirmation. Your bank sets its own closure requirements. DMCC clearance letters confirm accounts are closed or final bills paid.

An expired licence does not close the company, and penalties can keep building. See what to do with an expired trade licence.

We prepare the documents and follow up with the zone, the tax authority and the PRO steps. Liquidation is a legal process, so we work alongside your liquidator or lawyer. Fees and approvals are set by the authorities, so we cannot promise a timeline.

Common questions

More questions

How long does cancellation take?

It depends on the zone, the tax position and any open liabilities. Ask your zone for its current timeline.

Some zones ask for an audit report or final accounts. Check your zone's rules.

You must settle liabilities first. Unpaid fines and open visas block the process.

The licence expires but fines and liabilities can continue. Cancel properly to close the file.
