Contracts and legal drafting

Contracts and Legal Drafting in the UAE
Licensed Lawyers, Coordinated for You

Contracts and legal advice in the UAE have to come from a licensed lawyer or legal consultant. Xillion Group UAE is not a law firm. We brief independent licensed legal partners with your business facts, line up the paperwork and keep the process on schedule.

By Imran Mirza, Founder & CEO, Xillion Group UAE. Born and raised in the UAE, with 18+ years of professional working experience, including nearly seven years at Barclays and ADCB and 12 years in UAE business setup. Last reviewed 29 October 2026.

Short answer

Federal Law No. 34 of 2022 regulates advocacy and legal consultancy in the UAE, and in Dubai the Legal Affairs Department regulates lawyers. Advocates can appear before the courts; legal consultants advise but cannot. Xillion does not draft contracts or give legal advice. We coordinate independent licensed legal partners, who draft and advise, and we handle the company-side paperwork around them. Fees are quote on request.

Who does the work

Xillion Group UAE is a business setup consultancy. It is not a law firm and does not give legal advice or draft legal documents. Legal drafting is coordinated through independent licensed external professional partners, who are not Xillion employees. The lawyer, not Xillion, gives legal advice and is responsible for the document.

Xillion Group UAE is a consultancy. It is not a licensing authority, a bank or a law firm, and approvals are decided by the authority. This page is general information, not legal, tax or investment advice, and nothing here is a guarantee.

Who it is for

Who this page is for

  • Co-founders who need a shareholders agreement before money moves.
  • Owners changing shareholders, share capital or activities, which may mean a Memorandum of Association (MOA) amendment.
  • Companies signing supplier, distribution, agency or service agreements.
  • Buyers and sellers who need NDAs, heads of terms and sale agreements. See buying an existing company.
  • Families putting holding or succession documents in place. See family foundations and succession.
Steps

How it works, step by step

  1. Describe the deal. Who the parties are, what each side gives and gets, the amounts, the dates, and which emirate or free zone is involved.
  2. Choose the right document. The lawyer tells you what you need: a shareholders agreement, an MOA change, a commercial contract, a sale agreement or something else.
  3. Brief the legal partner. We pass your facts to an independent licensed legal partner. You receive the engagement terms and quote directly from them.
  4. Draft and review. The lawyer drafts or reviews, explains the risks and agrees changes with you. Some documents need Arabic text or notarisation, which the lawyer will tell you.
  5. Sign and file. Signing, notarisation and filing follow the lawyer's instructions. For company changes we help prepare the licensing authority paperwork.
  6. Update your records. Update the bank, licence and tax records if ownership or activity changed. See corporate bank account.
